PPP Governing Board Resolution No. 2025-10-01
PPP Governing Board Resolution No. 2025-10-01: Guidelines on the Conduct of Valuation and Compensation of the Usufruct of Assets, Properties, and/or Rights Contributed for Local PPP Projects

This Resolution is being issued to provide guidelines on the valuation and compensation of the Usufruct of assets, properties, and/or rights to be contributed by the government for Local PPP Projects, as required under Section 140 of the PPP Code and its IRR.

This Resolution shall apply to all Local PPP Projects where a third-party valuation report for the valuation and compensation of the Usufruct of assets, properties, and/or rights to be contributed by the government for Local PPP Projects is required for purposes of processing such Local PPP Project.

For avoidance of doubt, this Resolution shall not extend to matters related to real property valuation and assessment as provided under Republic Act No. 12001, otherwise known as the “Real Property Valuation and Assessment Reform Act.”

PPP Governing Board Resolution No. 2025-09-04: Amended Guidelines on Assessing Value for Money in Public-Private Partnership Projects

This Resolution repeals PPP Governing Board Resolution No. 2016-06-05, and seeks to achieve the following objectives:

  • Institutionalize a clear, consistent, and transparent framework for assessing VFM in PPP Projects, in support of the effective, efficient, and economic use of public resources;
  • Provide guidance to IAs and Approving Bodies in conducting VFM analysis across all relevant phases of the PPP Project lifecycle; and
  • Promote the use of local project financial and risk benchmarks to support the development of PSCs and PPP Models and improve the robustness of VFM analyses, in coordination with relevant agencies and oversight bodies.

PPP Governing Board Resolution No. 2025-09-03: PPP Project Monitoring Framework and Protocols Pursuant to the PPP Code and its Implementing Rules and Regulations

This Resolution repeals PPP Governing Board Resolution No. 2015-09-01, and seeks to achieve the following objectives:
(a) To provide key parties with clear mechanisms in monitoring PPP Projects from project development to project implementation;
(b) To identify the information and documents required for effective monitoring of the PPP Program and PPP Projects, which will enable the PPP Center to fulfill its mandate of being the repository of all PPP Project information in accordance with Section 24(a)(7) of the PPP Code;
(c) To establish a responsive project information management system (PIMS) as described in Section 5 of this Resolution; and
(d) To ensure a holistic and whole-of-government approach in monitoring PPP Projects.

This Resolution shall apply to all National and Local PPP Projects as defined under the PPP Code and its IRR. This includes PPP Projects with contracts executed prior to the effectivity of the PPP Code to the extent that such application does not infringe upon established rights and obligations.

PPP Governing Board Resolution No. 2025-06-03: Guidelines on the Review of Draft Contracts of National PPP Projects by Reviewing Bodies

This Resolution provides guidance on the review of draft PPP Contracts by the designated reviewing bodies within the two (2) 15-calendar-day review periods mandated under Section 80 of Republic Act No. 11966, or the “PPP Code of the Philippines,” and Section 80 of its Implementing Rules and Regulations.

The Resolution covers all national PPP Projects and PPP Projects in co-grantorship arrangements implemented by national and local Implementing Agencies.

PPP Governing Board Resolution No. 2025-06-02
PPP Governing Board Resolution No. 2025-06-02: Amended Guidelines and Procedures for the Review and Approval of Local PPP Projects by the Appropriate Approving Body under the PPP Code of the Philippines and its Implementing Rules and Regulations

This Resolution amends PPP Governing Board Resolution No. 2024-07-02 and seeks to establish the procedures and timelines, as well as the forms and templates, for the review and approval of Local PPP projects in accordance with Republic Act No. 11966 (PPP Code of the Philippines) and its IRR.

It shall cover the following actions of appropriate Approving Bodies for Local PPP projects implemented by Local Government Units and Local Universities and Colleges:

  • Confirmation by the respective Local Development Council Executive Committee
  • Review and approval of the Local Sanggunian or LUC Board
  • Endorsement of the Regional Development Council through its Regional Public-Private Partnership Committee on the Local PPP projects affecting national or sectoral development plans and national projects, and/or involving Government Undertakings and/or Availability Payments using national government funds
  • Approval of the Investment Coordination Committee of proposed Government Undertakings and/or Availability Payments using national government funds for Local PPP projects
  • Review and approval of proposed changes in the approved parameters, terms, and conditions for Local Solicited PPP projects prior to submission of bids
  • Determination of the Reasonable Rate of Return in case of single complying solicited bids
  • Review and approval of proposed variation, expansion, or extension of an existing Local PPP project requiring the approval of the appropriate Approving Body
  • Approval of change in, withdrawals, or substitution of Private Partners or member-firms of a consortium

This Resolution aims to detail the elements of a PPP as written in the PPP Code and its IRR to determine whether a Joint Venture or Lease Agreement falls within the scope of the PPP Code and its IRR.

This Resolution aims to: (a) provide a set of criteria that shall determine what is a “same” or “similar” project pursuant to Sections 56 of the PPP Code IRR; and (b) outline procedures on the treatment and processing of “same” or “similar” USPs by the PPP Center and Implementing Agency/ies.

PPP Governing Board Resolution No. 2025-01-02: Guidelines on the Conduct of Negotiations for PPP Projects Pursuant to the Provisions of the PPP Code of the Philippines and its Implementing Rules and Regulations

This Resolution aims to provide the guidelines, procedures, and timelines on the conduct of negotiations for PPP Projects. It shall cover the negotiation process between an IA and a Private Proponent in case of USPs and between an IA and a Private Proponent in case of single complying and responsive bid in solicited Local PPP Projects.

PPP Governing Board Resolution No. 2024-07-02: Guidelines and Procedures for the Review and Approval of Local PPP Projects by the Appropriate Approving Body under the PPP Code of the Philippines and its Implementing Rules and Regulations

Appeal Fees with Respect to Bidding-Related Determinations and Decisions on PPP Projects Currently in the Procurement Stage

This resolution shall cover all appeals filed during any stage of the bidding process pursuant to the BOT Law and its Revised 2022 IRR, which include appeals from pre-qualification/disqualification determinations, appeals from rejection of bids, appeals from bid evaluation decisions, and appeals from decisions to award. This resolution shall serve as an interim measure until a more detailed policy on appeal fees is promulgated.

PPP Governing Board Resolution No. 2023-06-02: Guidelines on the Negotiation Process for Unsolicited Proposals Under the Revised 2022 Implementing Rules and Regulations of the Build-Operate-Transfer Law

This Guidelines aim to aid in the conduct of successful negotiations, identify key considerations in the negotiation process, and prescribe rules and procedures on the extension of the negotiation period, if necessary.

PPP Governing Board Resolution No. 2019-07-02: Suggested Guidelines on Managing Greenfield Solicited Hybrid PPP Projects

This Guidelines aims to recommend common definitions of hybrid Public-Private Partnerships (PPPs) while assisting Implementing Agencies (IAs) in ensuring the success of infrastructure projects implemented through PPPs. It also provides guidance in maximizing Value for Money (VfM) outcomes through addressing risks inherent to PPP hybrid projects.

PPP Governing Board Resolution No. 2018-12-02 – Safeguards in PPP: Mainstreaming Environmental, Displacement, Social and Gender Concerns

This Guidelines aims to prevent delays associated with safeguard concerns in the Public-Private Partnership (PPP) process. These delays arise from some implementing agencies’ limited resources and capacity to review all safeguard laws, decrees, orders, issuances, rules, and regulations requiring integration in infrastructure and development projects, and limited understanding on how the safeguards requirements affect the various phases of delivering a PPP project (development, review and approval, procurement and implementation).

♦ Guidelines on Managing Unsolicited Proposals under Republic Act No. 6957 as Amended by Republic Act No. 7718

This Guidelines aims to facilitate a clearer understanding of the government’s requirements and establish a cohesive link among all relevant issuances for an easier adaptation of procurement rules and prevention of avoidable delays in the processing of unsolicited proposals (USPs).

Supersession of the Guidelines on Managing Unsolicited Proposals under the 2012 Implementing Rules and Regulations (IRR) of the Build-Operate-Transfer (BOT) Law

PPP Governing Board Resolution No. 2018-03-05 – Framework on PPP Center’s Assistance on Joint Venture Agreements

This issuance seeks to provide framework on the PPP Center’s assistance to Government Entities in undertaking Joint Ventures Agreements (JVAs) in the context of existing JVA-related guidelines and policies.

PPP Governing Board Resolution No. 2018-03-03 Guidelines on Appointment of Probity Advisors for PPP Procurement

The Government is committed to ensure a fair, impartial, transparent, and efficient Public-Private Partnership (PPP) procurement process. Probity is an important aspect of this commitment as the Government invites domestic and international investments into infrastructure.

This Guidelines replaced Policy Circular No. 05B-2017 dated February 14, 2017.

PPP Governing Board Resolution No. 2017-12-06: Guidelines on Setting Financial Bid Parameters for the Selection of Project Proponent in PPP Projects

This Guidelines aims to rationalize the framework that Implementing Agencies may use in determining the most advantageous financial bid parameters for Public-Private Partnership (PPP) projects that will ensure the best Value for Money (VfM) outcomes for the Government, as well as the best interest of the user community.

Code of Conduct for the PPP Governing Board

This Code of Conduct aims to establish guidelines for ethical standards of conduct of the PPP Governing Board and to help determine the appropriate demeanor in certain cases.

This Code of Conduct represents an overall framework by which all members of the Board shall endeavor to act and behave. It is not an exclusive listing of all ethical rules or requirements. All members of the Board shall be congnizant of their responsibilities under the law and shall require as to whether any contemplated act is in violation of this Code or any other applicable ethical rule or requirement.

PPP Governing Board Resolution No. 2015-09-01: Guidelines on PPP Monitoring Framework and Monitoring Protocols

This Guidelines seeks to identify the roles and responsibilities of the key parties involved in monitoring the implementation of PPP projects; to define the protocols for generating, processing, and sharing information for monitoring the implementation of Public-Private Partnership (PPP) projects; and to document information on lessons learned and best practices during project implementation that can be used in planning, evaluating, and implementing future PPP projects.

Termination Payment for PPP Projects

Termination Payment (TP) refers to the amounts payable by the Government or the Concessionaire on the occurrence of an event or series of events provided for in the Public-Private Partnership (PPP) contract that results in the termination of said contract.

Policy Circular No. 05-2015 Policy Circular on Appointment of Probity Advisors for PPP Procurement

This Policy Circular aims to institutionalize the appointment of Probity Advisors prior to the commencement of applicable PPP procurements to manage and provide an independent opinion on probity issues that may arise during the procurement process; and for confirming that the concluded process has met the probity requirements.

Guidelines on Viability Gap Funding (VGF)

This Guidelines seeks to institutionalize a VGF scheme for PPP projects to make economically-viable Public-Private Partnership (PPP) projects affordable to the public and at the same time, improve their commercial attractiveness.

Institutionalization of Best Practices in the Public-Private Partnership Processes

This Guidelines aims to institutionalize best practices in PPP procurement process and project implementation across the government and guide the implementing agencies in effectively integrating these into the PPP procurement process and project implementation.

Guidelines on the Identification, Selection and Prioritization of Public Private Partnership (PPP) Projects

This Guidelines aims to institutionalize the criteria and process in the identification, selection, and prioritization of PPP projects using Multi-Criteria Analysis (MCA) approach, which can be a useful tool in determining potential PPP projects and ensuring generation of a credible list of projects that have a relatively higher potential of being procured using the PPP scheme.

A Policy Matter Opinion (PMO) is issued by the PPP Governing Board in response to requests by government agencies and private entities. These requests arise from concerns that emerge in the course of processing PPPs under the PPP Code, its Implementing Rules and Regulations (IRR), and other relevant issuances.

The issuance of PPP Governing Board PMOs is pursuant to the following:

  1. Section 25 of Republic Act No. 11966, otherwise known as the PPP Code of the Philippines, and Section 157 of its IRR, which institutionalize the PPP Governing Board as the overall policy-making body for all PPP-related matters; and
  2. Section 24(a)(11) of the PPP Code and Section 154(k) of its IRR, which vest upon the PPP Center the authority to draft PMOs for approval of the PPP Governing Board in response to requests by government agencies and private entities.

A PPP Governing Board PMO is intended to provide further guidance on the PPP processes set forth in the PPP Code and its IRR. While the issuance of a particular PMO stems from a particular concern that arises in the course of processing a particular PPP project, such a PMO also serves to provide guidance for other PPP projects that face concerns similar to the one sought to be addressed by such PMO.

A PPP Governing Board PMO shall be read together with the PPP Code, its IRR, and other relevant issuances.
